Concerns over national security have surfaced as Democratic U.S. Representatives Sam Liccardo and Ayanna Pressley caution against Paramount Skydance’s bid to take over Warner Bros. Discovery (WBD). The involvement of foreign investors, particularly from Saudi Arabia and other nations, has triggered these alarms, potentially impacting one of America’s most influential media companies.
Foreign Investment and National Security Concerns
Reps. Liccardo and Pressley have voiced worries that Paramount’s attempt to acquire WBD, backed by foreign financiers, could transfer significant control of the media giant to international investors. They specifically highlighted investments linked to sovereign wealth funds from Saudi Arabia, Qatar, and Abu Dhabi, raising red flags about national security. These concerns are underscored by the Saudi Public Investment Fund’s ties to Crown Prince Mohammed bin Salman, associated with the murder of journalist Jamal Khashoggi.
The Role of Affinity Partners and Foreign Capital
Additionally, the takeover attempt by Paramount Skydance is reportedly supported by Affinity Partners, an investment firm founded by Jared Kushner. This connection further compounds concerns, as it could lead to complex future evaluations by U.S. regulators. Liccardo and Pressley warned of potential divestitures under a Democratic-controlled Congress or White House, which might disrupt the merger’s strategic objectives.
Warner Bros. Discovery and Paramount Skydance have chosen not to comment on the matter.
Terms of the Hostile Bid
On Monday, Paramount Skydance launched a direct appeal to WBD shareholders, offering a significant bid valued at $108.4 billion. This move follows an announcement of a separate $83.7 billion agreement between Netflix and WBD to acquire various divisions. The current offer is supported by several large entities, including Middle Eastern sovereign wealth funds and Affinity Partners. However, these investors have reportedly agreed to relinquish governance rights, exempting the deal from review by the Committee on Foreign Investment in the United States (CFIUS).
Lawmakers’ Call for Scrutiny
In a formal letter to WBD, the lawmakers emphasized the importance of filing a notice with CFIUS if the merger proceeds. They argued that the transaction must be scrutinized to protect U.S. national security, given the influence media companies have on American news and cultural content. Liccardo stressed the dangers of granting foreign-backed investors access to private American data without due diligence.
The pursuit of this takeover by Paramount Skydance amid national security debates highlights the complexities of foreign investment in domestic media. With communication from Liccardo and Pressley urging further review, the situation remains dynamic, potentially reshaping the landscape of U.S. media ownership.
