Warner Bros. Ghosts Ellison After Intense 12-Week Courtship

David Ellison’s ambitious pursuit of Warner Bros. Discovery (WBD) took an unexpected turn. Despite his relentless efforts to win over CEO David Zaslav, Ellison ultimately lost the deal to Netflix. Now, in a bold move, Paramount Skydance, led by Ellison, is initiating a hostile takeover bid for WBD. This unfolding saga highlights the intense competition and strategic maneuvers within the media industry.

Ellison’s Intense Courtship of WBD

The recent SEC filings from Paramount reveal the extraordinary lengths David Ellison went to in order to secure a partnership with Warner Bros. Discovery. He hosted a high-profile dinner with his father, Larry Ellison, and Zaslav, trying to solidify a personal connection and a potential agreement. Further meetings in Beverly Hills and videoconferences with key shareholder John Malone underscored the seriousness of his proposal.

Despite these efforts, Ellison faced repeated rejections from the WBD board. He offered an enticing all-cash proposal of $30 per share, valuing the deal at $77.9 billion, and even suggested a co-CEO role for Zaslav in a merged entity. Yet, the board opted for a $72 billion agreement with Netflix, presenting higher regulatory risks and a longer timeline.

The Emergence of a Hostile Takeover Bid

Determined not to back down, David Ellison has shifted tactics, taking his battle directly to WBD shareholders with a hostile takeover bid. He assured investors, “Our proposal is superior in every dimension – higher value, greater certainty, and a pro-Hollywood future.” Ellison’s approach aims to provide transparency and allow shareholders the opportunity to reassess their options independently.

His persistence was evident in multiple messages sent to Zaslav, including one on December 4, outlining a comprehensive offer that addressed WBD’s previous concerns. However, Ellison’s messages went unanswered, and by that evening, news circulated about Warner Bros.’ exclusive agreement with Netflix.

Complex Negotiations and Strategic Alliances

Throughout the negotiation process, Paramount and Warner Bros. Discovery engaged in complex discussions, particularly regarding confidentiality agreements and financing. WBD sought to minimize the involvement of foreign investors to avoid scrutiny from the Committee on Foreign Investment in the United States. The deal involved backers such as Middle Eastern sovereign wealth funds, Larry Ellison, and RedBird Capital Partners, but avoided governance rights to prevent regulatory reviews.

While Paramount’s efforts with WBD face significant hurdles, Ellison remains undeterred. His bold actions underscore the fierce competition and intricate strategies shaping the media landscape. As the takeover bid unfolds, all eyes are on how WBD shareholders will respond to this aggressive play.
